Terms of Service

Welcome to BizRnr. By accessing or using our AI-powered business communication platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including business owners, administrators, and any individuals who access the Service on behalf of a business.

BizRnr provides an AI-powered communication platform that includes:

• AI voice agents for inbound and outbound phone calls
• Automated SMS and WhatsApp messaging
• Appointment scheduling and calendar integration
• Contact and lead management
• Call recording, transcription, and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3.1 Eligibility

You must be at least 18 years old and have the legal authority to bind the business you represent. By registering, you confirm that all information provided is accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

3.3 Account Approval

Account activation requires administrative approval. We reserve the right to reject or terminate accounts at our discretion, particularly if we believe the intended use violates these Terms.

You agree to use the Service only for lawful business purposes. You may NOT use BizRnr to:

• Make calls or send messages that violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or similar regulations
• Contact individuals on the National Do Not Call Registry without proper consent
• Engage in harassment, threats, or abusive communications
• Transmit spam, phishing attempts, or fraudulent content
• Impersonate another person or business
• Collect personal information without proper consent
• Violate any applicable local, state, national, or international law
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code

5.1 Your Responsibilities

You are solely responsible for ensuring your use of our calling and messaging features complies with all applicable laws, including:

• Obtaining proper consent before contacting individuals
• Maintaining accurate Do Not Call (DNC) lists
• Honoring opt-out requests promptly
• Providing required disclosures in automated calls
• Complying with time-of-day calling restrictions

5.2 AI Disclosure

You must configure your AI agents to disclose their AI nature when required by law. BizRnr is not responsible for your compliance with AI disclosure requirements.

5.3 Recording Consent

Call recording laws vary by jurisdiction. You are responsible for obtaining necessary consent for recording calls in compliance with applicable two-party or one-party consent laws.

6.1 Subscription Fees

BizRnr operates on a subscription basis with custom pricing. Your subscription fee will be communicated during onboarding and confirmed before activation.

6.2 Billing

Subscription fees are billed monthly in advance via Stripe. You authorize us to charge your payment method on file for recurring fees.

6.3 Usage Fees

Additional charges may apply for telephony usage (call minutes, SMS messages) beyond included allowances. Usage fees will be disclosed in your service agreement.

6.4 Failed Payments

If a payment fails, we will attempt to collect the amount due. Continued payment failure may result in service suspension or termination.

6.5 Refunds

Subscription fees are generally non-refundable. Refund requests will be considered on a case-by-case basis at our discretion.

7.1 Our Property

The Service, including all software, algorithms, designs, and content, is owned by BizRnr and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service for your business purposes.

7.2 Your Content

You retain ownership of data you upload to the Service (contacts, business information, custom prompts). You grant us a license to use this data to provide and improve the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You are responsible for ensuring your use of the Service complies with applicable data protection laws (GDPR, CCPA, etc.) with respect to data you collect from your customers.

The Service integrates with third-party providers including ElevenLabs, Twilio, Stripe, OpenAI, and Google. Your use of these integrations is subject to their respective terms of service. We are not responsible for the performance or practices of third-party services.

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for any downtime, delays, or failures caused by:

• Scheduled or emergency maintenance
• Third-party service outages
• Network or infrastructure issues beyond our control
• Force majeure events

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZRNR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless BizRnr and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any applicable laws (including TCPA, GDPR, CCPA)
• Your content or data uploaded to the Service
• Communications made through the Service on your behalf
• Claims by third parties related to your use of the Service

14.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Your access will continue until the end of your current billing period.

14.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if we determine your use poses a risk to the Service or other users.

14.3 Effect of Termination

Upon termination, your access to the Service will cease. We may delete your data after a reasonable retention period. Sections of these Terms that should survive termination (including Limitation of Liability and Indemnification) will remain in effect.

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us and attempt to resolve the issue informally for at least 30 days.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizRnr regarding the Service.

16.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

16.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.5 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
